The documents released in connection with TKO’s earnings report outline the specifics of the professional agreement between WWE and Johnson, covering equity compensation, trademark rights, royalties, and board participation. The filing confirms Johnson’s official leadership role within TKO, as he was appointed as a WWE director designee on the TKO Board on January 23, 2024.
The agreement between WWE and Johnson, known as the DJ Services Agreement, was established a day before his appointment to the TKO Board. One of the most significant details of this agreement is the transfer of intellectual property rights. WWE assigned the trademark “The Rock” and related IP assets directly to Johnson through one of his affiliates.
Subsequently, Johnson licensed this intellectual property, along with his name and likeness, back to WWE for use in certain licensed products over a 10-year period. As part of the deal, Johnson received a substantial equity award of $15.0 million. The company also recognized equity-based compensation expenses of $17.7 million in 2024 and $4.0 million in 2025 related to this award.
In addition to the equity award, Johnson continues to receive annual royalties from WWE merchandise featuring his likeness and intellectual property. The filing also disclosed travel reimbursements provided by the company. These expenses totaled $0.9 million in royalties for each of the years ended December 31, 2025, and 2024, with reimbursable expenses amounting to $0.6 million and $2.6 million for the same period, respectively.
