The company has confidentially submitted a draft registration statement on Form F-4 to the US Securities and Exchange Commission, which marks a pivotal step towards its proposed business combination with Crown PropTech Acquisitions.
The anticipated transaction entails a pro forma valuation of approximately US$400 million for Mkango’s shareholding in Mkango Rare Earths Limited, excluding certain financial adjustments. In a notable development, Crown PropTech Acquisitions’ sponsor has showcased its commitment by increasing its funding pledge by an additional US$250,000, bringing the total sponsor investment to US$750,000. This additional funding has been facilitated through convertible promissory notes, underscoring the sponsor’s dedication to the partnership.
Moreover, the business combination agreement has been revised to account for a planned reorganization and to extend the termination date to September 30, 2026. Mkango anticipates that the transaction will be finalized in the second quarter of 2026, subject to regulatory approvals and the fulfillment of other closing conditions.
