Datavault AI Adjusts Distribution Date for Common Stock Warrants
Datavault AI Inc., a company specializing in data monetization, credentialing, digital engagement, and asset tokenization technologies, has announced a change in the distribution date of warrants to eligible record equityholders. The distribution date has been moved to February 23, 2026, from the initially scheduled date of February 21, 2026. The record date for this distribution remains January 7, 2026.
The distribution of warrants, which allow the purchase of Datavault AI common stock, is subject to changes by the board of directors for any reason before the actual distribution date. The completion of the distribution hinges on the board not revoking it before the distribution date, especially in the event of a significant change to the company’s solvency analysis.
Eligibility for receiving these warrants extends to record holders of Datavault AI securities as of the record date, including common stock, specific warrants, convertible promissory notes, and equity awards issued under Datavault AI’s various equity incentive plans. The distribution ratio entails one warrant for every 60 shares of common stock held by the record holders, rounding down to the nearest increment of 60 shares.
Each warrant entitles the holder to purchase one share of common stock at an exercise price of $5.00 per share. The exercise price is adjustable based on certain corporate events like stock dividends, splits, and mergers. Warrants can only be exercised for cash, unless an effective registration statement is in place for the issuance of warrant shares, in which case cashless exercise provisions may apply.
Conditions for exercising warrants include the possession of a Dream Bowl Meme Coin II token per warrant requested to be exercised, held in a digital wallet within a Datavault account at the time of exercise. The verification of exercise conditions, including the token requirements, may take up to five trading days from the date of submission. Transfer of warrants is subject to restrictions, only allowable in specific circumstances outlined in the warrant agreements.
The expiration date for these warrants is set at 5:00 p.m. New York City time on the one-year anniversary of the distribution date. Record holders are advised to refer to the information provided in the official documents for further details on the terms and conditions of the warrant distribution.
