ADM agrees to pay US$40 million settlement to SEC
ADM has reached an agreement with the US Securities and Exchange Commission (SEC) to pay a hefty sum of US$40M to resolve an investigation into intersegment sales. This decision comes after the SEC filed charges against ADM and some former executives for boosting the performance of its Nutrition business segment.
According to a recent press release by the SEC, ADM has decided to settle the charges without admitting or denying any of the findings. The US Department of Justice has also completed its investigation into the matter with no further action taken. The SEC’s complaint specifically pointed out Vikram Luthar for directing adjustments to Nutrition’s transactions with other ADM segments to meet operating profit targets for the fiscal years of 2021 and 2022. These adjustments, which included retroactive rebates and price changes, were aimed at hitting profit goals or concealing any shortfalls without informing third parties.
Furthermore, the settlement agreement involved recognizing the roles of Macciocchi and Luthar in identifying and structuring adjustments for fiscal years 2021 and 2022. Young was also implicated for negligently approving improper adjustments for fiscal years 2019 and 2021. The SEC acknowledged ADM’s cooperation and efforts to rectify the situation, such as conducting an internal investigation, reporting findings to the staff, and providing additional analyses from external accounting experts. Remedial actions taken by ADM included implementing new internal accounting controls for intersegment transactions, policy amendments, and testing the effectiveness of these controls.
As part of the settlement, a Fair Fund was established to distribute the monetary relief to affected investors. Juan Luciano, ADM’s chair of the board, president, and CEO, expressed relief in settling the matter and emphasized the company’s commitment to operating transparently and maintaining stakeholders’ trust. ADM also disclosed that significant changes were made to its financial leadership team and controls to prevent similar issues from arising in the future.
