Law firm Gleiss Lutz assists Infineon Technologies AG in €570 million purchase of sensor …

Gleiss Lutz recently provided legal counsel to Infineon Technologies AG in their acquisition of the non-optical analog/mixed-signal sensor portfolio from ams-OSRAM AG, valued at EUR 570 million. This significant transaction is set to enhance Infineon’s standing in the automotive, industrial, and medical sensor markets through the incorporation of complementary products.

Infineon Technologies AG, a prominent global semiconductor organization focusing on power systems and the Internet of Things (IoT), will benefit greatly from this strategic move. Established in 1999 and headquartered in Neubiberg, near Munich, Infineon boasts an impressive revenue of approximately EUR 14.7 billion in the fiscal year 2025, with a workforce of around 57,000 employees. The company is publicly listed on the Frankfurt Stock Exchange and the OTCQX International market in the United States.

On the other hand, ams-OSRAM AG, with its primary headquarters in Premstätten near Graz in Austria, and a secondary headquarters in Munich, is a key player in innovative lighting and sensor solutions. The company recorded revenues of EUR 3.4 billion in 2024 and is listed on the SIX Swiss Exchange.

Dr. Ralf Morshäuser, along with Dr. Tobias Falkner, led the legal team at Gleiss Lutz, assisting Infineon in this substantial acquisition. The team comprised individuals from various legal backgrounds, including M&A, tax, intellectual property, antitrust, foreign investment control, employment, and finance. The collaboration with in-house legal counsel, Michael Steinbach, ensured a comprehensive legal approach to the transaction.

Furthermore, Infineon was supported by a network of legal counsel firms, including Cravath, Swaine & Moore (United States and United Kingdom), Schoenherr (Austria), Walder Wyss (Switzerland), AZB & Partners (India), Zhong Lun (China), and Garrigues (Spain).

The acquisition of ams-OSRAM AG’s sensor portfolio is anticipated to strengthen Infineon’s product portfolio significantly, particularly in the sensor domain. This strategic move will allow Infineon to solidify its foothold in key markets, offering high-quality sensor solutions to its customers worldwide.

With a focus on innovation and cutting-edge technology, this acquisition aligns with Infineon’s commitment to providing state-of-the-art solutions across various industries. The transaction, which is pending regulatory approval, is expected to conclude in the second quarter of 2026, marking a significant milestone for both companies involved.
