ADM fined $40 million by SEC for accounting issues; DOJ ends criminal investigation
ADM has always seen its Nutrition business as a lucrative opportunity for growth and a way to diversify its income. As the company struggled with profits in this sector, its former executives resorted to fraudulent measures to inflate the business’s value to investors.
The SEC’s $40 million fine is a result of ADM’s former high-ranking executives manipulating funds within the company to make the Nutrition business seem more profitable than it actually was. The CFO at the time, Vikram Luthar, played a central role in this fraud, along with two other executives named in the SEC complaint.
While ADM did not admit to any wrongdoing, they agreed to cooperate with the SEC voluntarily. The DOJ’s criminal probe into the matter was dropped in January 2026, after months of investigation and grand jury testimonies from current and former ADM employees. A lawsuit filed by an investor against ADM regarding the fraudulent accounting is still ongoing.
Juan Luciano, ADM’s CEO, expressed relief that the government investigations were over and emphasized the company’s commitment to transparency and integrity in its operations. Luthar’s attorney, Junaid Zubairi, condemned the SEC’s allegations against his client as unjust and one-sided. He maintained that Luthar had not engaged in any improper conduct and had acted in good faith within the company’s guidelines.
Vincent Macciocchi and Ray Young, the two other executives involved in the fraud scheme, agreed to pay significant amounts to investors to settle their part in the matter. Luthar, on the other hand, chose not to settle and was looking forward to his day in court to contest the SEC’s accusations.
ADM has faced legal troubles in the past, with a subsidiary pleading guilty to violating the Foreign Corrupt Practices Act in 2013. The recent incident involving the Nutrition business has highlighted the company’s reliance on this sector for future growth. ADM processes a variety of grains and is a major player in the global market, supplying raw materials for a wide range of products, from food items to personal care products.
As ADM navigates the aftermath of the scandal and settles with regulators, the incident serves as a cautionary tale for the agribusiness industry.
