Bristow Group Completes $500 Million Senior Secured Notes Offering

Bristow Group Inc. made an announcement regarding the closing of a private offering of $500 million in senior secured notes due 2033 along with the extension of its asset-based revolving credit facility (ABL Facility) until 2031. The notes were issued under an indenture among the Company, subsidiary guarantors, and U.S. Bank Trust Company, National Association.

Chris Bradshaw, Bristow’s President, and Chief Executive Officer expressed satisfaction with the completed financing, emphasizing its importance in strengthening the company’s financial standing and providing increased strategic and operational flexibility. The successful offering of the new senior secured notes and the extension of the ABL facility allow Bristow to benefit from an extended maturity profile and a robust liquidity position.

Proceeds from the notes offering were used to fund the redemption of the outstanding 6.875% Senior Secured Notes due 2028. This redemption led to the satisfaction and discharge of the 2028 Notes with the release of the liens securing them. The remainder of the net proceeds from the offering will be utilized for general corporate purposes.

The notes were offered to qualified institutional buyers under Rule 144A and to non-U.S. persons outside the United States under Regulation S. The offer and sale of the notes were not registered under the Securities Act or state securities laws, hence cannot be offered or sold in the U.S. without registration or an applicable exemption.

Furthermore, Bristow Group entered into an amendment and restatement of the ABL Facility on January 26, 2026, extending its maturity to 2031, reducing total commitments to $70 million, and allowing an increase to a maximum of $105 million.
