Streamex Corp. has made significant announcements regarding its financial arrangements, stating that it has issued an optional prepayment notice for its Secured Convertible Debentures and a notice of termination for the Standby Equity Purchase Agreement (SEPA). The Company has taken these steps as part of its financial planning strategy.
The Company has existing Secured Convertible Debentures with the Holder, YA II PN, LTD., totaling $50 million. Streamex Corp. has decided to issue an Optional Prepayment Notice to the Holder to prepay the entire outstanding principal balance of $50 million, along with a Prepayment Premium of 10%, as specified in the Debentures. The Holder has the option to convert any or all of the Debentures within ten trading days of receiving the Notice, after which Streamex Corp. is obligated to make the prepayment on the eleventh trading day.
Additionally, Streamex Corp. has chosen to cancel the SEPA that it had previously entered into with Yorkville. The SEPA allowed the Company to issue and sell up to $1,000,000,000 of its Common Stock to Yorkville over a 36-month period. Despite having control over the issuance and sale of Common Stock to Yorkville, the Company has not utilized this facility and has decided to terminate the agreement.
Streamex Corp. has provided further details about the Debentures and the SEPA in its Form 8-K filings with the SEC from July to December 2025. The Company’s CEO, Henry McPhie, expressed enthusiasm for Streamex Corp.’s financial decisions, stating that by retiring the convertible debenture and canceling the SEPA, the company is gearing up for a promising year ahead. With the upcoming GLDY launch and a recently completed equity raise, Streamex Corp. aims to capitalize on its clean balance sheet for sustained growth.
