Thaifoods Group recently made a notable announcement regarding the resignation of its chief executive officer, Winai Teawsomboonkij. The decision stems from regulatory findings that found Teawsomboonkij engaged in insider trading related to the company’s shares. Following this development, the meat producer indicated that Teawsomboonkij has distanced himself from company operations, management, and decision-making since stepping down.

The company confirmed Teawsomboonkij’s resignation in a filing on 8 January, highlighting that the departure was prompted by civil penalties imposed by Thailand’s Securities and Exchange Commission due to the misuse of non-public information. The investigation into these allegations originated from a referral by the Stock Exchange of Thailand to the SEC in November 2016, leading to a detailed review of trading activities associated with Thaifoods securities.

Upon completion of its investigation, the SEC determined that Teawsomboonkij and five others had engaged in trading Thaifoods shares and warrants between March and August 2016 using confidential financial information. This privileged information pertained to the company’s first- and second-quarter operating results for 2016, which exhibited robust performance not yet disclosed to the market. Consequently, the SEC levied a civil fine of US$35.6 million against Teawsomboonkij, underscoring one of the significant penalties imposed by the Thai regulator for insider trading.

An interim leadership framework has been established by Thaifoods following Teawsomboonkij’s exit, with the chief operating officer, Phet Nantavisai, and chief financial officer, Siriluck Tangwiboonpanich, spearheading the company’s operations in conjunction with the board of directors. Efforts are underway to identify and appoint new executives to fill the vacated leadership roles in the wake of Teawsomboonkij’s resignation. Despite the leadership transition, Thaifoods remains dedicated to executing its business strategies and upholding operational continuity.

Established in 1987 by Teawsomboonkij, Thaifoods Group commenced its operations with a solitary chicken farm in Lopburi Province, central Thailand. Originally named Thai Food (2001) Co., Ltd., the company underwent a restructuring in 2014, adopting the title Thai Foods Group Public Company Limited. The listing of its shares on the Stock Exchange of Thailand in 2015 facilitated access to public capital markets for Thaifoods. Presently, the group functions as a vertically integrated food producer, focusing primarily on poultry and pork, with farming, processing, and distribution activities spanning Thailand and Vietnam.
