Tesla awards stock options exceeding $200 million to rare non-Elon ‘critical exec’
Tesla has recently awarded Tom Zhu, its Senior Vice President of Automotive and a key figure within the organization, a substantial new stock option package valued at over $226 million.
In a recent SEC filing, it was disclosed that Zhu received 520,021 stock options with a strike price of $435.80 on January 8, 2026. While these stock options do not carry intrinsic value at the time of granting, the underlying shares have an approximate value of $226.6 million.
For Zhu to realize this value, he must remain with the company. The filing outlined a lengthy vesting schedule, stating that “1/48th of the shares subject to the option will become vested and exercisable on April 5, 2027, and 1/48th of the shares subject to the option shall become vested and exercisable each month thereafter.” This five-year retention plan will see all options fully vested by March 2031, contingent on Tesla’s stock price growth.
Tom Zhu has been a pivotal figure at Tesla for more than a decade, known for his instrumental role in establishing and scaling Gigafactory Shanghai, Tesla’s most productive factory. He played a significant part in Tesla’s achievements in China.
Having served as Elon Musk’s right-hand man overseeing global automotive operations while Musk was engaged in other ventures, Zhu’s significance within the company cannot be understated. Tesla reports stock transactions involving executive officers and critical executives to the SEC. Currently, only two critical execs, namely Zhu and CFO Vaibhav Taneja, are listed outside of the CEO.
While Zhu’s $200 million-plus package is substantial by industry standards, it is dwarfed by the compensation structure recently approved for Musk by Tesla shareholders. Elon Musk’s compensation package includes the “2025 CEO Performance Award” and previous packages, potentially totaling hundreds of billions and up to $1 trillion if ambitious targets are met.
Despite the vast difference in compensation, Zhu’s package serves a vital purpose of ensuring stability within the company amidst Musk’s various commitments.
