In the initial news release, Collective shared its plan to conduct a non-brokered private placement offering up to 17,647,058 units, referred to as “Units.” These Units will be priced at $0.085 per Unit and consist of one common share and one transferrable common share purchase warrant. Each warrant can be exercised to obtain one additional common share at an exercise price of $0.10 within two years from the closing date of the private placement. Following the initial announcement, Collective has decided to adjust the terms of the Warrants by increasing the exercise price from $0.10 per Share to $0.105 per Share, while keeping all other aspects of the private placement unchanged. The Units will be offered to eligible investors under prospectus and registration exemptions within securities legislation. The Company may award finders’ fees to those assisting with the placement, in accordance with existing regulations. Investors will face a four-month hold period before being able to trade the securities acquired through this Private Placement.
It’s crucial to note that this offering is not an invitation to buy securities in the United States. The securities involved have not been registered under the United States Securities Act of 1933 or any state securities laws. Therefore, they cannot be sold within the United States or to U.S. Persons, unless registered or exempt from registration under the Act.
