Possible Early Closure for Compass and Anywhere Merger

Compass and Anywhere Real Estate are on the verge of finalizing their merger, expected to be completed by January 9th. Recently, stockholders from both companies gave their overwhelming approval for the merger. The deal, valued at $1.6 billion, was initially announced in September and was projected to be finalized in the latter part of the year. During a special stockholder meeting held by Compass, the investors agreed to issue shares of Compass Class A common stock to Anywhere stockholders, as stated in a filing with the Securities and Exchange Commission. Likewise, Anywhere’s special stockholders’ meeting saw about 72.4 percent of the outstanding shares of common stock voting in favor of adopting the merger agreement.

The waiting period for antitrust review for the potential merger expired on January 2nd, providing the Department of Justice and the Federal Trade Commission with the opportunity to evaluate the proposed merger for any antitrust concerns under the Hart-Scott-Rodino Antitrust Improvements Act of 1976. This deadline passing was reported by Barron’s, despite Senators Elizabeth Warren and Ron Wyden urging the DOJ and FTC to investigate the merger due to concerns about listing transparency and market consolidation.

Following these developments, both Compass and Anywhere saw significant increases in their stock prices. Compass witnessed a surge of over 12 percent to $12.16, the highest mark since the end of 2021, while Anywhere’s stock rose more than 20 percent to $17.48, reaching its peak since early 2022.

The merger between Compass and Anywhere Real Estate is anticipated to join forces in the residential sector, combining their vast network of agents to enhance their market presence further. Compass, known as the largest brokerage in the country by deal volume, has over 40,000 agents, while Anywhere brings in more than 300,000 agents, propelling their combined deal volume to an impressive $415 billion in 2024, according to RealTrends.

With this merger, Compass will incorporate Anywhere’s esteemed brands such as Corcoran, Sotheby’s International Realty, Coldwell Banker, and Century 21 under its banner. This move by Compass, led by Robert Reffkin, follows a series of strategic acquisitions in recent years, including a significant $444 million deal for Chicago-based @properties and Christie’s International Real Estate, solidifying its position in the market and expanding its reach by integrating regional firms into its network.
