American Airlines invests in Republic Airlines after merger with Mesa Airlines – AeroTime.
American Airlines has become a minority shareholder in Republic Airways Holdings following the recent merger of Republic with Mesa Airlines earlier this year, aligning with a prevalent trend among major US carriers to invest in their regional airline partners.
In a filing with the US Securities and Exchange Commission, American Airlines disclosed acquiring around 9.7 million shares in the combined Republic entity, representing a 20.8% ownership. This stake was a part of the Republic-Mesa merger finalized in November 2025, with American committing to hold on to the shares for at least 180 days post-transaction.
This development places American Airlines in line with its competitors, United Airlines and Delta Air Lines, both of which already possessed minority stakes in Republic. United held approximately 7.7 million shares, while Delta had around 6.7 million. American now holds the largest individual stake among the three major carriers.
These equity investments signify a strategic shift in how US airlines manage their regional networks. Instead of solely relying on capacity purchase agreements, the top three US airlines are increasingly establishing financial ties with the carriers operating the bulk of their domestic feeder network.
Republic and Mesa now jointly operate the world’s largest fleet of Embraer regional jets, comprising nearly 300 E170 and E175 aircraft. Together, they conduct over 1,300 daily departures, crucially feeding traffic into major hubs across the United States.
Despite the merger, Republic and Mesa will maintain separate operations under their existing certificates. Republic serves multiple airlines, including American, United, and Delta, while Mesa exclusively operates flights for United under the United Express brand. The Republic-Mesa consolidation has marked a significant event in the US regional airline sector, emphasizing how large regional operators have become vital to major carriers.
American Airlines has secured a sizable interest in the combined entity; however, no operational changes or governance details were announced. This investment’s timing and structure suggest a strategic positioning beyond pure financial stake, underscoring the importance of securing long-term regional capacity for major airlines.
The involvement of American Airlines in Republic Airways Holdings post-merger highlights a broader trend in the US airline industry where major carriers are proactively investing in and strengthening ties with their regional partners, signaling a fundamental shift in how the aviation sector manages its feeder networks and enhances operational synergies for seamless connectivity within the industry.
