FCMB-TLG Fund in Nigeria Receives SEC Approval for Series II ESG Debt Offering
The FCMB-TLG Private Debt Fund has recently garnered approval from the Nigerian Securities and Exchange Commission (SEC) to introduce its Series II offering, with potential funding of up to 20 billion naira ($13.7 million). The offering, scheduled to commence in January 2026, will be accessible to institutional investors and high-net-worth individuals once all regulatory prerequisites are met.
The funds generated will be allocated towards corporate debt investments in mid-sized Nigerian businesses spanning diverse industry sectors, such as agriculture, clean energy, education, healthcare, technology, and transport and logistics. These sectors are in accordance with the United Nations Sustainable Development Goals. The fund’s investment strategy will also encompass environmental, social, and governance (ESG) criteria aiming to deliver favorable risk-adjusted returns while fostering the sustainable advancement of Nigeria’s economy.
Through the achievement of Series I issuance, the FCMB–TLG fund aims to enhance the accessibility of local-currency funding for small and medium-sized Nigerian enterprises amid escalating capital demands and market volatility. Managed collaboratively by London-based investment entity TLG Capital and FCMB Asset Management Limited, the fund’s inception took place in June 2024. Structured as a 10-year closed-end fund, the initiative targets financially robust, high-impact organizations, offering investors regular income distributions with an emphasis on capital preservation.
