CEO of Investment Fund Charged in $294 Million Securities Fraud Scheme

Federal prosecutors have recently charged Jeffrey Spotts, a 58-year-old Summit resident and former CEO of Prophecy Asset Management LP, with participating in a massive securities fraud conspiracy that resulted in a loss of about $294 million for investors. Spotts appeared in U.S. District Court in Trenton to face multiple federal charges related to the elaborate scheme. Acting U.S. Attorney Alina Habba disclosed the allegations against Spotts on Tuesday.

The charges levied against Spotts include conspiracy to commit wire fraud, wire fraud, conspiracy to commit securities fraud, and securities fraud. If convicted, he could face up to 20 years in prison and substantial fines for each of these charges. The indictment also detailed how Spotts’s business partner, John Hughes, entered a guilty plea in connection with the same fraud case. Hughes is scheduled for sentencing in March 2026.

Spotts and Hughes co-founded Prophecy Asset Management and at its peak, the firm managed an impressive $360 million in investor funds. However, between January 2015 and March 2020, the duo allegedly employed a deceptive investment strategy known as the “first-loss” strategy. This strategy purportedly limited risk by mandating sub-advisors to provide cash collateral to cover any potential losses. Prosecutors believe that these claims were deliberately misleading. Instead of spreading investments across various sub-advisors, Spotts and Hughes mainly funneled the capital to a single sub-advisor.

Furthermore, the selected sub-advisor did not offer adequate collateral and proceeded to incur losses amounting to nearly $290 million. Shockingly, despite these mounting losses, Spotts and Hughes neglected to take any corrective measures, such as suspending or terminating the sub-advisor, as promised to investors. This gross mishandling led to significant financial repercussions for the unsuspecting investors who had entrusted Prophecy Asset Management with their hard-earned money.

The case has garnered substantial attention, given the magnitude of the alleged fraud and the impact it had on numerous investors. The indictment outlines a deliberate and malicious attempt by Spotts and Hughes to deceive investors by misrepresenting their investment strategy. Their actions not only betrayed the trust of those who had placed their faith in Prophecy Asset Management but also caused significant financial harm to countless individuals.
