Diversified Energy plans to move primary listing to NYSE

Diversified Energy PLC will maintain its secondary listing on the London Stock Exchange (LSE). As a primarily US-based business, the company operates in US dollars with all operating profit coming from US operations, which serve as the main growth market. The executive management team, operational headquarters, employees, and assets are all based in the US, and over 65% of outstanding shares are held by US investors. These factors support the decision to transition to a primary listing on the New York Stock Exchange (NYSE) while retaining a secondary one on the LSE.

The move to a US primary listing aligns with the company’s business strategy and enhances liquidity in shares by tapping into deeper US capital markets. This shift also broadens exposure to US investors, including access to passive investment capital pools. By listing primarily in the US, Diversified Energy aims to attract high-quality equity investors, simplify share ownership for employees, and better position itself for inclusion in top US equity indices and Exchange Traded Funds. The secondary listing on the LSE will continue to facilitate trading liquidity for non-US shareholders.

The transition to a primary listing on the NYSE will be carried out through a UK scheme of arrangement, necessitating shareholder approval at a General Meeting. The proposed change is subject to approval by a majority of registered shareholders representing at least 75% of the shares voted. A shareholder circular detailing the proposals will be released, with the General Meeting slated to occur in the near future. Pending shareholder approval, the scheme of arrangement is anticipated to be finalized in the fourth quarter of 2025, signaling the commencement of trading on the NYSE.
