Gold Fields completes $3.7 billion acquisition of Gold Road – Mining News

Gold Fields has successfully completed its $3.7 billion acquisition of Gold Road Resources. The legal formalities, including a scheme of arrangement, were completed on September 26. The scheme allows Gold Fields, a South African company, to acquire 100% of Gold Road shares through its subsidiary, Gruyere Holdings. The scheme was approved by the Supreme Court of WA and was finalized when lodged with the Australian Securities and Investments Commission. As a result, Gold Road shares were suspended from trading.

Current shareholders of Gold Road are set to receive a special dividend before the ownership transfer. The board of Gold Road has agreed to distribute $0.43 per share to the full share register as of September 30. This dividend is part of the consideration in the acquisition deal, which also includes a fixed cash component of $2.52 per share and a variable cash consideration of $0.98 per share. These values were determined based on Gold Road’s shareholding in Northern Star Resources before the scheme came into effect.

The transfer of Gold Road shares to Gold Fields and the full implementation of the acquisition will be completed on October 14. Gold Fields, which is a 50-50 joint venture partner on the Gruyere gold mine in Western Australia, will now own the entire mine. The Gruyere gold mine is expected to produce between 325,000 to 355,000 ounces of gold in 2025.

The acquisition of Gold Road Resources by Gold Fields was initially proposed in May and received approval from Australia’s Foreign Investment Review Board (FIRB) in the same month. The Federal Government greenlighted Gold Fields to proceed with the acquisition, which marks a significant milestone in the mining industry.
