MARA Holdings, Inc. recently concluded a significant offering of $950 million in 0.00% convertible senior notes due 2032. This announcement comes as MARA solidifies its position as a prominent player in the digital energy and infrastructure sector. The transaction, settled on July 25, 2025, involved the sale of the notes to qualified institutional buyers in a private offering under Rule 144A of the Securities Act of 1933.
The Company also granted the initial purchasers an option to acquire up to an additional $200 million aggregate principal amount of the notes within a 13-day period following the issuance date. After accounting for discounts and commissions, the net proceeds from the notes’ sale amounted to approximately $940.5 million. MARA utilized part of these funds for the repurchase of its existing 1.00% convertible senior notes due 2026 and to cover expenses related to capped call transactions with select financial institutions, with the majority earmarked for strategic initiatives.
The notes represent unsecured, senior obligations of MARA, devoid of regular interest and accretion. Special interest may be paid at MARA’s discretion, serving as a remedy for certain non-compliance situations. In the absence of special interest payments, semi-annual interest disbursements are scheduled for February 1 and August 1 starting from February 1, 2026. The notes will mature on August 1, 2032, unless redeemed or converted earlier based on their terms. Come January 15, 2030, MARA holds the option to redeem all or part of the notes for cash at a redemption price equivalent to 100% of the principal amount plus any accrued special interest.
According to MARA, the inflow of resources from the notes’ offering will be directed towards various purposes. These include the acquisition of additional bitcoin assets and general corporate needs like working capital, potential acquisitions, asset expansions, and repayment of outstanding obligations, aligning with the Company’s overarching growth strategy.
