Circle, issuer of USDC stablecoin, announces plans to go public with IPO

Circle, a stablecoin platform that issues the USDC coin, has officially submitted paperwork for an Initial Public Offering (IPO) to the Securities and Exchange Commission (SEC). This significant development was announced through a recent SEC filing on Tuesday, indicating that Circle has engaged the services of two prominent investment banks, JPMorgan and Citi, for underwriting the IPO.

Circle’s decision to go public comes after previous delays in their plans due to various reasons. In January 2024, Circle had initially announced its intention to launch an IPO, only to postpone it later in December 2022. However, in a recent move, the company took a step forward by submitting its S-1 registration form to the SEC, indicating its readiness to enter the public market.

The year 2025 has been remarkable for the cryptocurrency industry, with a particular focus on stablecoins and digital assets. Notably, former US President Donald Trump has shown renewed interest in cryptocurrencies, especially stablecoins, urging Congress to introduce favorable legislation to support this growing sector. This favorable political environment has likely played a role in Circle’s decision to move ahead with its IPO plans.

Typically, once the filing process is complete, trading of the company’s shares commences approximately four weeks later. However, there are instances where companies may delay this process, with some even waiting for several months before listing their shares. For Circle, going public has been a long-standing goal, and the current attempt marks a crucial milestone in its journey towards achieving this objective.

In the past, Circle faced challenges in realizing its IPO ambitions. A proposed merger with an SPAC arrangement in 2021 failed to secure regulatory approval from the SEC. Subsequently, following the market volatility triggered by the FTX crash in 2022, Circle decided to pause its IPO plans. It wasn’t until early 2024 that the stablecoin platform made a confidential filing for a traditional IPO, setting the stage for its latest public offering.

Now, with the submission of its IPO paperwork, Circle has taken a significant step towards making its shares available to the public market. The involvement of major investment banks, JPMorgan, and Citi, in underwriting the IPO reinforces the credibility and potential of Circle’s offering. As the company advances through the IPO process, stakeholders eagerly await the outcome of this strategic move in the cryptocurrency and digital asset space.
