Form 10 filed with SEC for planned spin-off

Holcim is undergoing a significant initiative in the preparation of its North American business listing by publicly submitting its Form 10 Registration Statement with the US Securities and Exchange Commission (SEC) under the name Amrize. Post spin-off, Amrize will emerge as the foremost building solutions company, specializing solely in the North American market. It plans to provide customers with an extensive array of cutting-edge building solutions for various construction sectors from the ground up.

Amrize has marked a notable success streak in profitable expansion, backed by its dominant market positions, value-enhancing acquisitions, and a dedicated focus on creating value for shareholders. In the year 2024 alone, Amrize managed to generate revenue amounting to US$11.7 billion, securing an Adjusted EBITDA of US$3.2 billion with an impressive margin of 27%. The financial statements of Amrize are rooted in US GAAP and are accessible in the Form 10, prepared on a ‘carve-out’ basis.

Jan Jenisch, the Chairman of Holcim, commented on this milestone development by emphasizing the significance of the filed documents in the upcoming listing of Amrize. Amrize is strategically positioned to capitalize on the annual US$2 trillion construction expenditure in North America. Its operations will be divided into two core segments, Building Materials, and Building Envelope, spanning from fundamental materials such as cement, ready-mix concrete, and aggregates to sophisticated envelope systems including roofing and insulation. By leveraging renowned brands like OneCem and Elevate, Amrize aims to engage across infrastructure, residential, and commercial markets, addressing initiatives from new constructions to renovations. With a workforce of 19,000 employees and an extensive reach comprising over 1,000 facilities across the US and Canada, Amrize is poised to serve customers at the national level.

To educate investors and stakeholders about Amrize’s strategy, business plan, and capital framework, Holcim intends to host an Investor Day on March 25, 2025, in New York City. The spin-off process is anticipated to conclude by the first half of 2025, subject to standard approvals, including the SEC confirming the effectiveness of Form 10 and the final endorsement of the spin-off at Holcim’s 2025 Annual General Meeting scheduled for May 14, 2025.
