Shopify includes U.S. site in SEC filing for first time to ‘align’ with peers

Shopify Inc. has recently included a U.S. address in its annual regulatory filing submitted to the U.S. Securities and Exchange Commission, marking a significant shift for the e-commerce software company. This change was identified in the filing made on February 11, where Shopify designated both its Lafayette Street location in New York and its native O’Connor Street site in Ottawa as its “principal executive offices.” Further analysis by TD Cowen analyst Peter Haynes uncovered that the filing now also includes a U.S. employment identification code, a deviation from previous filings that solely listed the Ottawa address. Previous filings typically fell under the foreign issuer 40-F classification, while the recent filing was categorized as the domestic issuer 10-K.

Haynes highlighted that Shopify has altered how it presents certain data, particularly shifting the geographic breakdown of the company’s assets from predominantly Canadian to predominantly U.S. This adjustment suggests that Shopify may be strategically positioning itself to potentially join specific U.S. indexes.

While Haynes speculated on the motives behind this change, company spokesperson Alex Lyons offered a different perspective. Lyons framed the decision to list the U.S. address as a deliberate effort to align Shopify’s disclosures with those of its industry counterparts, particularly within the software sector.
