Nissan, Honda, Mitsubishi Motors Sign MOU for Collaborative Partnership

Nissan, Honda, and Mitsubishi Motors have joined forces to explore the possibility of Mitsubishi Motors participating in a potential business integration through the establishment of a joint holding company. This comes after an initial memorandum of understanding (MOU) was signed between Nissan and Honda to kick off a strategic partnership focused on intelligence and electrification.

The three automakers have agreed to begin discussions based on the framework set out in the MOU signed by Nissan and Honda in early August. Mitsubishi Motors has been actively involved in these discussions as well.

In light of the evolving automotive industry landscape and the changes faced by Nissan and Honda, the companies are now considering the involvement of Mitsubishi Motors to enhance synergies at a greater level through a potential business integration. Mitsubishi Motors aims to finalize its decision on participating in this integration effort by the end of January 2025.

Nissan’s Director and CEO, Makoto Uchida, expressed optimism about the potential integration, highlighting the opportunity to deliver enhanced value to a broader customer base. Honda’s Director and Executive Officer, Toshihiro Mibe, echoed these sentiments, emphasizing the potential for social change and innovation in mobility.

Mitsubishi Motors’ President and CEO, Takao Kato, emphasized the importance of maximizing synergies and leveraging each company’s strengths to drive collaboration. The three automakers are gearing up to begin discussions immediately, with a goal of reaching clarity on the business integration by the end of January.

Looking ahead, Honda and Nissan may file a registration statement with the U.S. Securities and Exchange Commission (SEC) in connection with a potential share transfer as part of the integration process. This filing would include a prospectus and other essential documents for shareholders to review.

U.S. shareholders of Honda and Nissan are encouraged to carefully examine these documents before voting on the Share Transfer at the respective shareholders’ meetings.
