DOJ evaluating SEC complaint against Villar Land

The Securities and Exchange Commission (SEC) has lodged a complaint against Villar Land Holdings Corp., currently known as Villar Land, which is still in the evaluation process to determine if it is ready for a preliminary investigation, according to Prosecutor General Richard Fadullon. The Department of Justice is still assessing the case, and no concrete statements can be made yet as they await the results to avoid any premature pronouncements.

The SEC’s complaint pertains to alleged violations by Villar Land, previously named Golden MV Holdings Inc., of Section 24.1(d) and Section 26.3 of Republic Act No. 8799, also known as the Securities Regulation Code. The accusations focus on the company allegedly making false or misleading statements and engaging in activities that defrauded or deceived investors. The complainants named in the filing include Villar Land’s chairperson, former senator Manuel Villar Jr.; former senator Cynthia Villar; directors Cynthia Javarez, Manuel Paolo Villar, Senator Camille Villar, and Senator Mark Villar; and independent directors Ana Marie Pagsibigan and Garth Castañeda.

Justice spokesperson Polo Martinez mentioned that the Department of Justice may request additional documentation from the SEC if the initial complaint is deemed insufficient. Martinez stated that if extra evidence is submitted but still does not meet the required standard, the request will be denied. Fadullon emphasized that while the complaint is under review, technically, there is no active case yet. Before cases can proceed to a preliminary investigation, they must first undergo thorough evaluation. Only after a panel determines that a preliminary investigation is needed will the case officially proceed.
