Aura Minerals aims to raise $210 million with public offering on Nasdaq – Mining Technology
Aura Minerals, a mining company based in Canada, has recently made a significant announcement regarding its plans to conduct a public offering of common shares in the United States through a Form F-1 registration statement filed with the US Securities and Exchange Commission (SEC). This move is expected to raise approximately $210 million American dollars, taking into account the prevailing share price and current exchange rates.
The company intends to list the shares on the Nasdaq Global Select Market under the symbol ‘AUGO’. The offering is exclusive to investors in the US and is being facilitated through a prospectus, with BofA Securities and Goldman Sachs & Co serving as global coordinators. Additionally, financial institutions including BTG Pactual and Itaú BBA are acting as joint bookrunners, with several other co-managers involved in the process. Interested parties can obtain preliminary prospectus copies from BofA Securities upon request.
While Aura Minerals has filed the necessary paperwork with the SEC for the proposed offering, it is awaiting approval before engaging in any activities related to the sale of securities or accepting commitments to purchase shares. It is important to note that shareholders’ pre-emptive rights are not included in this offering, in compliance with the company’s memorandum and articles of association. This provision also extends to holders of Brazilian Depositary Receipts.
Furthermore, the offering will not constitute a public offering in Brazil, in accordance with local securities laws and regulations. The transaction has not been registered with the CVM in Brazil and the common shares will not be offered or sold within the country, except under specific circumstances that do not fall within the purview of a public offering or distribution as per Brazilian securities regulations.
In addition to this offering, Aura Minerals recently finalized a definitive agreement to acquire Bluestone Resources at a cost of $74.3 million. This acquisition encompasses the Cerro Blanco gold project and the Mita Geothermal project, further expanding the company’s portfolio and strategic interests in the mining sector.
