Teleflex to acquire Biotronik’s Vascular Intervention business in Germany before split

Teleflex, based in New York and known for its medical technologies, has recently finalized an agreement to purchase most of Biotronik’s Vascular Intervention business for about €760m. Biotronik, founded in 1963, is a key player in the medical technology sector, specializing in products for patients with heart and blood vessel conditions and chronic pain. The acquisition by Teleflex aims to broaden its product range to encompass various vascular intervention devices, such as drug-coated balloons, drug-eluting stents, and other medical tools.

According to Liam Kelly, the chairman, president, and CEO of Teleflex, this acquisition is anticipated to significantly contribute to the company’s growth trajectory by diversifying revenue streams geographically, particularly in the EMEA region. The deal will also provide a platform for increased investment in research and development, bolstering innovation within the company. Reports indicate that the newly acquired products have seen steady revenue growth over the years and are forecasted to bring in approximately €91m in revenue by the fourth quarter of 2025, with a projected growth rate of 6% or more in constant currency beginning in 2026.

On Biotronik’s end, this deal signifies a strategic pivot towards strengthening its foothold in active implantable devices and digital healthcare solutions. To facilitate this transaction, Teleflex intends to fund the purchase through a combination of new loan arrangements, credit facilities, and existing cash reserves while also utilizing foreign exchange derivative contracts to mitigate currency risks. The closure of this deal is expected by the end of the third quarter of 2025.

In addition to the acquisition, Teleflex has revealed plans to carve out its Urology, Acute Care, and OEM businesses into a separate, publicly traded entity. This move, which will create a new independent company named RemainCo, aims to enhance growth opportunities by targeting high-potential markets centered around hospital-based procedures. By simplifying its operational structure and intensifying its focus, the newly formed RemainCo is expected to leverage a revenue base of around US$2.1bn achieved in 2024.

The transaction between Teleflex and Biotronik underscores the strategic realignment efforts of both companies to capitalize on emerging trends and opportunities within the healthcare sector. With Teleflex’s expansion into vascular intervention products and the upcoming formation of RemainCo, the two companies are poised for growth and innovation in a competitive marketplace.
